GOONE DISTRICT SERVICE CHANNEL PARTNER AGREEMENT
This District Service Channel Partner Agreement (“Agreement”) is made and entered into on this ___ day of ________, 25, by and between:

having its registered office at Tikka Market, 15, Gali Number 11, near Trimurti Public School, Kalyan Nagar, Thanesar, Kurukshetra, Haryana 136119, (hereinafter referred to as the “GoOne”, which expression shall, unless repugnant to the context or meaning thereof, be deemed to include its successors and assigns)
AND
Mr./Ms. __________________________,
Resident of ________________________________________,
(hereinafter referred to as the “District Service Channel Partner (DSCP)”), which expression shall include his/her heirs, legal representatives, and permitted assigns.
1. PURPOSE OF AGREEMENT
The purpose of this Agreement is to establish a collaborative business relationship between the GoOne and the District Service Channel Partner (DSCP) to manage and promote GoOne’s digital marketplace, automation, IT, and security services at the district level under the GoOne Business Network.
2. NATURE OF APPOINTMENT
The DSCP is appointed as an independent District Service Channel Partner and not as an employee, agent, or representative of the GoOne.
Both parties agree to maintain transparency, follow GoOne policies, and operate under the legal and ethical business framework of India.
3. INVESTMENT & EARNING STRUCTURE
- The DSCP shall make a total investment of INR 10,00,000 (Ten Lakh Rupees Only) as per GoOne norms.
- The DSCP will receive fixed monthly earnings as per the approved earning table, with the following conditions:
- Sale Commission: 2% on total sales generated under the DSCP jurisdiction.
- Service Commission: 5% on total services revenue generated.

- If the actual monthly earnings fall below the fixed amount shown in the table, the GoOne shall compensate the difference to ensure the fixed earning.
- If the actual earnings exceed the fixed amount, a capping will apply as per the maximum monthly limit.
4. OFFICE SETUP & RESPONSIBILITY
- The GoOne shall identify and finalize a suitable office location within the DSCP’s district.
- The office structure, furniture, branding, and basic setup shall be created and maintained by the GoOne.
- Office rent, utility bills, and maintenance costs shall be borne entirely by the GoOne.
- The GoOne shall appoint an official representative to work at the district office as part of the GoOne staff.
- For field operations, the GoOne shall deploy:
- Area Service Manager
- Assistant Manager
- Technical Support Executive
All of whom shall operate under the supervision of the Business Development Manager (BDM).
- GoOne may hire more staff if needed to provide the best service to its users.
5. DUTIES & RESPONSIBILITIES OF DSCP
- To promote and expand GoOne’s digital marketplace, automation, IT, and security services in the assigned district.
- To support merchants, shopkeepers, and service partners in onboarding and using the GoOne platform effectively.
- To maintain regular communication with the GoOne’s Business Development Manager and follow operational guidelines.
- To ensure all transactions, marketing activities, and services comply with applicable laws and GoOne standards.
6. GOONE’S RESPONSIBILITIES
- To provide marketing support, operational guidance, and business development materials.
- To ensure timely disbursement of fixed earnings and applicable commissions.
- To maintain the district office, representative staff, and business infrastructure.
- To protect the DSCP’s commercial interests within the allocated district territory.
7. DURATION & RENEWAL
This Agreement shall remain valid for 24 months from the date of execution.
Upon completion, it may be renewed for another term based on performance review and mutual consent between both parties.
8. CONFIDENTIALITY
Both parties agree not to disclose any business, financial, or customer-related information to any third party during or after the term of this Agreement.
9. LEGAL COMPLIANCE
- This Agreement is fully compliant with the applicable laws of India and does not involve any unauthorized or illegal financial activity.
- Both parties agree to maintain fair trade practices, taxation compliance, and transparency in all financial transactions.
- In case of dispute, the matter shall be settled amicably. If unresolved, it shall be subject to the jurisdiction of the courts located at ____________ (GoOne’s registered office location).
10. TERMINATION
The Agreement may be terminated by either party with a 60-day written notice under any of the following conditions:
- Breach of agreement terms
- Fraudulent or illegal activity
- Failure to perform obligations for three consecutive months
11. MUTUAL UNDERSTANDING
Both parties understand that this Agreement is intended to build a strong, long-term, and transparent partnership between the GoOne and the DSCP. The goal is to achieve mutual business growth and sustainable district-level development under the GoOne brand.
12. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between both parties and supersedes any previous verbal or written communication related to the same subject matter.
